What is a tokenized stock?

Oracle xStock (ORCLx) is a tokenized stock: a digital token issued by Backed Finance, a Swiss company, each one backed 1:1 by a real share held in regulated custody. Holding ORCLx gives you on-chain price exposure to Oracle that trades 24/7 — including nights, weekends and holidays when the real stock market is closed — but it isn't the stock itself: no voting rights, no direct shareholder status, and it isn't redeemable for the underlying share the way Backed's own eligible institutional clients can.

The regulatory picture

Tokenized stocks sit in a regulatory space that moved fast in 2026. On January 28, the SEC's Divisions of Corporation Finance, Investment Management, and Trading and Markets issued a joint staff statement clarifying that tokenized securities are subject to the same federal securities laws as their traditional counterparts regardless of whether ownership is recorded on-chain or off-chain — it created no new exemption, just confirmed existing law still applies.

On September 17, the SEC went further, issuing a five-year Innovation Exemption creating a regulated pathway for certain venues to trade tokenized U.S. stocks through permissioned on-chain pools. Products structured as synthetic trackers without direct shareholder rights — which includes xStocks — sit outside that specific exemption. They keep operating the way they always have: a Swiss-issued token backed 1:1 by shares held with Alpaca Securities LLC (a FINRA-registered, SIPC-member broker-dealer), with supplemental Lloyd's of London coverage up to $175M and weekly Proof of Reserves published on-chain and third-party audited — not available to US persons at the issuer level, and without voting rights or direct shareholder status.

This isn't investment or legal advice, and the rules here are still developing. Read the SEC's own statement before treating a tokenized-stock product as equivalent to owning the real thing.

Oracle stock already pays its own dividend on its own schedule — that doesn't change here. What's different on-chain is that a token like ORCLx *can* also sit in a liquidity pool (Raydium, Orca) and earn a second, independent trading-fee yield on top of the stock's own return — several xStocks already do, with real, checkable liquidity.
